Terms of Service
Version 2026-10-08 · DRAFT — to be reviewed by a Philippine lawyer and all [bracketed] details filled in before launch.
These Terms of Service ("Terms") are an agreement between you and [Legal business name] ("Deskless Books", "we", "us"), the provider of the Deskless Books app and website (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. What Deskless Books is — and isn't
Deskless Books helps freelancers, online sellers and other small businesses in the Philippines keep their books: recording income and expenses (including by photographing receipts or chatting with our assistant, Libro), comparing tax options (8% flat rate, graduated rates with OSD, or itemized deductions), tracking BIR filing deadlines and tax withheld from your income (BIR Form 2307), producing reports and printable books of accounts, and preparing draft tax-form worksheets.
Deskless Books is a bookkeeping tool. It is not:
- a substitute for a licensed CPA, tax lawyer or BIR-accredited tax agent;
- a guarantee of any tax result, of whether an expense is deductible, or of the accuracy of any recommendation;
- a filing service — we do not file returns or pay taxes to the BIR for you. Prepared tax forms are draft worksheets marked "NOT FOR FILING";
- a system for issuing official receipts or invoices;
- a registration service — you print, bind and register your books of accounts with the BIR (for example in ORUS) yourself.
You are responsible for checking every figure before you rely on it, for your own tax filings and payments, and for your annual choice of tax regime, which the BIR may treat as irrevocable for the year.
Deadline reminders and phone notifications are a convenience. They may not reach you (for example, if notifications are off on your phone, or you use the website, where reminders show only in the app's Alerts). Meeting BIR deadlines is still your responsibility.
2. Who may use the Service
You must be at least 18 years old and able to enter into a binding contract. If you use the Service for a business, you confirm you are allowed to act for that business.
3. Your account
- Give accurate information when you register, including your name, business details and TIN.
- To register a business, you must complete an identity check (a government ID photo and live selfies). Collaborators complete a shorter check for each business owner they help.
- Keep your password and the one-time codes we email you private. You are responsible for what happens under your account. Tell us right away through in-app support or at [support email] if you think someone else has accessed it.
- Every account has a permanent Account ID (for example DB-7K4M2Q) that we use to identify you in support conversations, audit logs and reports.
4. Plans, prices and billing
| Plan | Price | What it adds |
|---|---|---|
| Free | ₱0 | Up to 20 transactions a month, receipt scanning, tax-option comparison, tracking of tax withheld by your clients (BIR Form 2307), BIR deadline reminders (in the app, and as phone notifications in the Android and iPhone app) |
| Starter | ₱199/month | Unlimited transactions, Customers & Vendors, view-only reports, bank and e-wallet statement import (when available) |
| Advance | ₱499/month | Report exports, data export, more currencies, 1 collaborator, BIR Books of Accounts (printable, for loose-leaf registration), withholding tax on your payments to suppliers (including prepared Form 2307 for payees) |
| Business | ₱699/month | Balance Sheet, bank reconciliation, Libro voice and chat entry, up to 3 collaborators, more than one business (when available) |
- Optional add-ons (such as Inventory at ₱99/month, and each extra business on the Business plan at ₱499/month, when available) and Prepared Tax Forms (₱499 per form, period and tax option — Forms 1701Q, 2551Q and 1701A) are priced separately and shown before you buy. Form 1701A is prepared only for the 8% rate or graduated rates with OSD. If you itemize deductions, you file Form 1701, which we do not prepare.
- Paid plans renew automatically every month until you cancel. Payments are made on our website and processed by our payment partner [PayMongo]; we never see or store your full card number.
- Prices are in Philippine pesos and include [VAT/percentage tax, as applicable]. We will give at least [30] days' notice of a price change; it applies from your next billing period.
- If a payment fails, we may move your account to the Free plan after [X] days' notice. Your records are kept; only paid features are locked.
5. Changing plans, cancelling and refunds
- You can upgrade at any time; the higher plan starts right away.
- If you move to a lower plan or cancel, you keep your current plan until the end of the period you already paid for.
- [State your refund policy plainly — for example: "Payments are non-refundable except where required by law." or "New subscribers may ask for a full refund within 7 days of their first payment."]
- A Prepared Tax Form, once unlocked, can be opened again at no extra charge.
6. Collaborators (accountants and bookkeepers)
- On Advance and Business plans you can invite an accountant or bookkeeper to help with your books. You choose their position, which decides what they can see and do. You can remove them at any time.
- Advance allows 1 collaborator and Business allows 3. If you have more than one business (when available), each person counts once, and you choose which of your businesses each collaborator can access.
- If you move to a plan with a lower limit, extra collaborators are paused, not removed. You choose who stays active.
- By inviting someone you allow them to view and change your records as their position allows. You are responsible for who you invite.
- If you accept an invitation as a collaborator, you agree to use the owner's data only to help that owner, to keep it confidential, and to follow these Terms. Collaborators cannot delete transactions.
- What happens in a business — including who opened it, and every addition, change and deletion — is recorded in the owner's audit log with the person's name and Account ID.
7. Your data
- You own the records, receipt photos and other content you put into the Service ("Your Data").
- You give us permission to store and process Your Data only to provide, secure and improve the Service — including sending receipt photos, voice notes, chat messages and statements you upload for import to our AI provider to read them (see the Privacy Policy).
- You can export your data (on Advance and Business, or at any time while account deletion is pending) and delete your account at any time. Deletion has a 30-day grace period during which you can cancel; after that your data is permanently erased. Export a copy first — the BIR may require you to keep your books for several years, and that obligation is yours.
8. Fair and acceptable use
You agree not to:
- use the Service for anything unlawful, including preparing records you know are false;
- upload someone else's information without their permission;
- try to get into another person's account or data, or test, probe or overload our systems;
- copy, resell, scrape or reverse-engineer the Service;
- use automated tools to send large numbers of requests. To keep costs fair, AI features (receipt reading, statement reading and Libro) have a daily limit per person.
We may suspend or close accounts that break these rules.
9. AI features
Receipt reading, statement import and Libro use artificial intelligence. They can make mistakes. Always review a suggested transaction before saving it. Libro answers questions about the app and your own records; it does not give professional tax or legal advice.
10. Availability and changes
We work to keep the Service available, but it may sometimes be interrupted for maintenance or reasons outside our control. We may add, change or remove features. If we remove a paid feature you rely on, we will tell you in advance where we reasonably can.
11. Disclaimers and limits on liability
This section needs a lawyer's review before publishing.
The Service is provided "as is". To the extent the law allows, we do not promise that calculations, recommendations or AI results are free of errors, and we are not liable for penalties, surcharges, interest or losses that come from relying on the Service without checking it. Our total liability for any claim is limited to what you paid us in the [3] months before the claim. Nothing in these Terms limits rights you have under Philippine consumer law that cannot be limited.
12. Ending the agreement
You can stop using the Service and delete your account at any time. We may suspend or end your access if you break these Terms, do not pay, or if we are required to by law. Sections 7, 11 and 13 continue to apply after the agreement ends.
13. Governing law and disputes
These Terms are governed by the laws of the Republic of the Philippines. We will first try to resolve any dispute with you informally through support. If that does not work, disputes will be brought before the courts of [city/municipality].
14. Changes to these Terms
We may update these Terms. For an important change we will tell you in the app or by email at least [15] days before it takes effect, and ask you to agree again. The version date is shown at the top.
